Terms of Service

1. Acceptance of Terms
By accessing or using SOPdoc at sopdoc.ai (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you and SOPdoc (“we,” “us,” or “our”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
SOPdoc is a web-based platform for creating, managing, and exporting professional standard operating procedures (SOPs), checklists, and related documentation. The Service includes AI-powered document generation, version control, team collaboration, and PDF export features.
3. Accounts
You must create an account to use SOPdoc. You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree to:
- Provide accurate and complete registration information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Not share your account with others
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscriptions & Billing
Plans
SOPdoc offers free (Starter) and paid (Pro, Business) plans. Plan features, limits, and pricing are described on our pricing page and may change with notice.
Payment
Paid subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation & downgrades
You may upgrade, downgrade, or cancel your subscription at any time from your account settings. Downgrades and cancellations take effect at the end of your current billing period. No refunds are provided for partial billing periods.
Document limits
If you downgrade to a plan with fewer allowed documents, your existing documents remain accessible. You will not be able to create new documents beyond the plan limit until you upgrade or delete existing documents.
5. Your Content
Ownership
You own your content. All documents, text, and data you create or upload remain your intellectual property. We do not claim any ownership rights over your content.
License to us
You grant us a limited, non-exclusive license to store, process, and display your content solely to provide the Service (e.g. rendering your documents, generating AI suggestions, creating PDF exports).
AI processing
When you use AI features, your prompts and relevant document content are sent to our AI provider (OpenAI) for processing. Your content is not used to train AI models. You are responsible for reviewing AI-generated content for accuracy before relying on it.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or its systems
- Interfere with or disrupt the Service or servers/networks connected to it
- Use automated systems (bots, scrapers) to access the Service without permission
- Upload malicious content, malware, or content that infringes on others' rights
- Resell, sublicense, or redistribute the Service without authorization
7. Intellectual Property
The SOPdoc name, logo, website design, and application code are our property or licensed to us. Nothing in these Terms grants you rights to use our branding or trademarks. The Service's templates, UI components, and documentation structure are provided as tools — the content you create with them belongs to you.
8. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that:
- The Service will be uninterrupted or error-free
- AI-generated content will be accurate, complete, or suitable for any particular purpose
- Documents created with SOPdoc will meet specific regulatory or compliance requirements in your jurisdiction
You are solely responsible for reviewing and validating all documents before use in regulated or operational settings.
9. Limitation of Liability
To the maximum extent permitted by law, SOPdoc and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total cumulative liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless SOPdoc from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to allow you to export your documents, after which it will be deleted.
You may delete your account at any time. Sections that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and liability limitations) will survive.
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated by updating the “Last updated” date and, where appropriate, by email notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.
